1. Agreement to Terms
By accessing and using Orion Labs' services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Services Description
Orion Labs provides software development services including but not limited to:
- AI Development and Integration
- Backend API Development
- Web Application Development
- Chatbot Development
- Machine Learning Model Training
- Technology Advisory Services
3. Project Scope and Deliverables
All projects will be governed by a separate Statement of Work (SOW) or project agreement that will include:
- Detailed project scope and requirements
- Timeline and milestones
- Payment terms and schedule
- Deliverables and acceptance criteria
- Change request procedures
4. Payment Terms
Unless otherwise specified in the project agreement:
- Payment terms are Net 30 days from invoice date
- Late payments may incur a 1.5% monthly service charge
- Work may be suspended for accounts more than 30 days overdue
- All prices are in USD unless otherwise specified
5. Intellectual Property
Upon full payment for services:
- Client owns all custom code developed specifically for their project
- Orion Labs retains rights to general methodologies, techniques, and know-how
- Third-party libraries and frameworks remain under their respective licenses
- Orion Labs may use project experience as a case study with client approval
6. Confidentiality
Orion Labs agrees to maintain the confidentiality of all client information and will not disclose any confidential information to third parties without written consent, except as required by law.
7. Warranties and Disclaimers
Orion Labs provides a 15-day warranty period for all delivered software, during which we will fix any bugs or issues at no additional cost. Beyond this period:
- Services are provided "as is" without warranty of any kind
- We do not guarantee uninterrupted or error-free operation
- Client is responsible for data backup and recovery
8. Limitation of Liability
Orion Labs' total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
9. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination:
- Client will pay for all work completed up to the termination date
- Orion Labs will deliver all completed work and project materials
- Both parties will return any confidential information
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Orion Labs is incorporated, without regard to conflict of law principles.
11. Changes to Terms
Orion Labs reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
